Resolved, The Executive Council, meeting virtually, June 25-28, 2021, acting pursuant to Canon 1.8.9, hereby authorizes consultation with the Trustees of The Church Pension Fund, concerning the attached resolution and accompanying proposed canonical change; and be it further
Resolved, that the Presiding Officers shall appoint up to five members of Council to participate in such consultation with the Trustees, and be it further
Resolved, that any such consultation shall be completed by September 15, 2021, so that the attached resolution and proposed canonical change, together with any appropriate amendments, will be ready for a final vote by Council at the October 2021 meeting of Executive Council.

Explanation: The following Executive Council draft resolution is to be used as the framework for discussions with CPF. Please note that the draft Executive Council resolution in turn attaches a proposed canonical change in the form of a General Convention Resolution amending the canons. Executive Council cannot amend the canons, only propose amendments to General Convention.
DRAFT EXECUTIVE COUNCIL RESOLUTION
Resolved, by Executive Council, meeting [virtually] on [Date], hereby offers the attached resolution to amend Canon I.8. by adding a new section 10 for consideration by the 80th General Convention, scheduled for Baltimore, from July 7-14, 2022 and be it further,
Resolved, the purpose of the proposed canonical change is to clarify the relationship between The Church Pension Fund (CPF) and The Episcopal Church and assure that regularly scheduled, effective, and transparent communication occurs between the elected leadership of The Episcopal Church (TEC) represented by Executive Council and the CPF Trustees (elected by the General Convention of The Episcopal Church) about topics specified by the Presiding Officers, topics that shall include, but not be limited to:
- CPF’s performance of its appointed role as Recorder of Ordinations
- TEC’s access to data about TEC clergy and institutions, including data about clergy, insured real property and its condition, and other insurance provided by CPF subsidiaries, affiliates, or vendors, to members of, entities, and employees in The Episcopal Church;
- Regular sharing of updated CPF governance documents, including bylaws, and minutes of CPF board meetings, with appropriate safeguards to protect confidential personal and commercial information,
- Current information about declinations of insurance coverage, including information about any ongoing coverage disputes or litigation with congregations, dioceses, bishops, clergy, lay employees, the DFMS or other institutions within TEC;
- Current Information about administrative costs incurred by CPF and its subsidiaries and affiliates in comparison to insurers of similar size and scope;
- Timely information responding to requests by General Convention to CPF about the costs and benefits of offering additional kinds of pension and insurance coverage to clergy and lay employees, including possible paid family leave to covered clergy and lay employees.
And be it further,
Resolved, that this proposed canonical change is also intended to assure that timely, written notice is provided by CPF to the Executive Council, to the Bishop of the affected diocese, and to any individual claiming benefits from CPF or any of its subsidiaries and affiliates, before CPF, or any of its subsidiaries and affiliates initiates any litigation against any Bishop, Diocese, Congregation, other Church institution, or any other person claiming benefits from CPF or any of its subsidiaries and affiliates.

DRAFT GENERAL CONVENTION RESOLUTION TO BE OFFERED BY EXECUTIVE COUNCIL PURSUANT TO DRAFT EXECUTIVE COUNCIL RESOLUTION
Resolved, the House of _________ concurring, that the following new section 10 is added to Canon I.8:
- (a) In order to assure that regular, transparent, two-way communication occurs between the Trustees of the Church Pension Fund and the elected leadership of The Episcopal Church between sessions of General Convention, the Trustees shall come to the full Executive Council annually to discuss pending issues in coverage and benefits affecting clergy and lay members of The Episcopal Church, as well as issues affecting Dioceses, Congregations, and other Institutions of The Episcopal Church, and the actions of the Church Pension Fund’s subsidiaries and affiliates. The Presiding Bishop and President of the House of Deputies shall jointly specify the meeting dates.
(b) Within 45 days of the effective date of this canonical change, the Church Pension Fund shall provide the Executive Council current, accurate copies of the Church Pension Fund’s Charter, By-laws, and up to date Board Minutes, as well as the minutes from prior Church Pension Fund board meetings going back to January 1, 2009. Board minutes and any changes to the Charter and By-laws shall be promptly provided to Executive Council and in no case later than 30 days after approval.
(c) The Presiding Bishop and the President of the House of Deputies shall jointly specify the topics for discussion by the Church Pension Fund trustees and the members of Executive Council. Those topics shall include, but not be limited to the:
(1) Effect that specific Church Pension Fund practices, including the practices of its subsidiaries and affiliates , are having upon the effective administration of The Episcopal Church, Dioceses and Congregations, as may be specified by the Presiding Officers;
(2) Actuarial and financial feasibility of additional kinds or amounts of coverage addressed in General Convention resolutions proposed or adopted in the last two Conventions, as may be specified by the Presiding Officers;
(3) Size of general and administrative costs and fees incurred by the Church Pension Fund and its subsidiaries and affiliates in comparison to similar sized insurers.
(d) In its role as Recorder of Ordinations, the Trustees of the Church Pension Fund shall assure that the Domestic and Foreign Missionary Society has ready access, without charge and in a commercially reasonable format, to the data submitted to the Church Pension Fund as Recorder of Ordinations. Such access shall be provided in full compliance with all applicable policies of the DFMS and applicable data privacy and cybersecurity laws.
(e) No litigation shall be initiated by the Church Pension Fund, or any of its subsidiaries or affiliates against the Domestic and Foreign Missionary Society, The Episcopal Church, any officer of The Episcopal Church, any Diocese, any Bishop, any congregation, any member of the clergy, any church institution, or any person claiming benefits from CPF or any of its subsidiaries or affiliates unless it has first provided at least 30 days advance written notice to the (1) Chief Legal Officer, (2) any affected Diocesan Bishop, and (3) the proposed defendant of the specifics of any such claim.
(f) By March 1 of each year, The Church Pension Fund shall report in writing to the Chief Legal Officer listing all pending cases filed on behalf of The Church Pension Fund or any affiliated company against The Episcopal Church, the Domestic and Foreign Missionary Society, any Diocese, any Bishop, any Congregation, any member of the clergy, any congregation, any other entity affiliated with The Episcopal Church, or any person claiming benefits from The Church Pension Fund or any of its subsidiaries or affiliates as of January 1 of the two prior calendar years, and the resolution, if any, of such litigation.
